Amaze Turns to Gold and Defi With $155 Million BullionFx Reverse Acquisition Offer

Amaze Holdings, Inc. (AMEX:AMZE), a creator-economy platform, announced Tuesday that it has signed a binding letter of intent to acquire BullionFX’s assets, including its Alchemy platform, in an all-stock deal valued at approximately $155 million. BullionFX develops gold-backed digital-asset and decentralized finance infrastructure. BullionFX is a blockchain-based decentralized financial ecosystem and digital gold platform designed to link digital currency directly to wholesale physical gold reserves. Amaze Holdings market cap as of Monday (28 September close) was a little over $5 million. This marks BullionFX’s second buyout attempt this year. Back in May 2026, Functional Brands (OTC:MEHA) planned to buy the same assets for around $140 million, but that deal fell through in late June. Amaze Expands Into Gold-Backed Digital Assets The deal would expand Amaze beyond creator commerce into gold-backed digital-asset infrastructure. Alchemy includes blockchain technology, financial infrastructure and intellectual property built around auditable physical gold. The platform supports gold-linked payments, lending, borrowing, yield products, cross-chain interoperability and an Ethereum-based Layer 2 network. Its $GOLD token is designed to be backed one-to-one by vaulted physical gold held by independent custodians. Adjusted stablecoin transaction volume reached $1.79 trillion in June 2026, up 125% year over year, according to Visa Onchain Analytics (Allium). Amaze said the transaction comes amid rising stablecoin activity, renewed institutional engagement with digital assets, and continued strength in gold as a store of value. Post-Close Priorities And Deal Terms The all-stock transaction would require Amaze to issue a significant amount of common stock to BullionFX, potentially diluting existing shareholders. After closing, Amaze plans to prioritize Alchemy’s self-custody retail wallet and proprietary yield engines. It also intends to pursue a listed Stable Asset Treasury vehicle for gold and U.S. dollars, subject to regulatory approvals. The LOI contains certain binding provisions, but the parties still need to negotiate definitive agreements. Final terms remain subject to due diligence, regulatory review, approval by both boards and other customary closing conditions. Management Sees Long-Term Opportunity "Crypto’s renewed momentum and gold’s enduring role as a store of value have opened a rare window for infrastructure built on both," Interim CEO Joel Krutz said. "Alchemy is a full-stack, gold-backed financial ecosystem, and we believe bringing it into the public markets can create meaningful long-term value for our stockholders." AMZE Price Action: Amaze Holdings shares were down 41.12% at $0.07 at the time of publication on Tuesday. The stock is trading at a new 52-week low, according to Benzinga Pro data.
