Meta Announces Public Offerings of Depositary Shares and Class A Common Stock

Meta Platforms launched concurrent underwritten public offerings of 250 million Series A depositary shares and $22.5 billion of Class A common stock. Each depositary share represents a 1/20th interest in newly issued Series A Mandatory Convertible Preferred Stock, while the common-stock offering is being conducted in connection with forward sale agreements. Meta said the offerings will support continued investment in AI infrastructure and personal superintelligence.
